Official Confirmed

Take-Two’s Shareholders Re-Elected All Ten Directors — Zelnick With 96.8% — and Nothing About GTA VI Was on the Ballot

Take-Two’s SEC filing gives the September 17 results: every director re-elected, executive pay approved, the officer-liability charter change passed, and Ernst & Young kept as auditor. Just as we said beforehand, it was a governance vote, not a GTA VI event.

Confirmed — from Take-Two’s own Form 8-K, filed with the SEC on September 22. The percentages are our arithmetic on the filing’s vote counts (votes for, out of votes for and against).

The directors: all ten nominees were re-elected until the 2027 meeting. CEO Strauss Zelnick got 139,267,251 votes for and 4,588,247 against (96.8%). The lowest was Roland Hernandez, at 93.1%.

The rest of the ballot: the advisory vote on executive pay passed with 95.3%. The charter amendment limiting certain officers’ liability under Delaware law passed with 83.6%, the lowest score on the ballot, and Take-Two filed it with Delaware the next day. Ernst & Young was ratified as auditor for the year ending March 2027 with 95.3%. 159,237,889 of 186,980,443 shares were represented.

Why it matters for GTA VI: it doesn’t, much, and that is the point. As we wrote before the meeting, nothing on the agenda was about the game, and nothing in the filing is either. The same leadership team takes GTA VI to launch on November 19.

The limit of this story: the 8-K reports vote counts only. Anything said on the audio webcast isn’t in the filing, and we haven’t found a transcript.
